Your Rights as DBYC Members

Members of the Discovery Bay Yacht Club are the legal stakeholders of the organization, much like shareholders in a corporation. Under the California Corporations Code, members hold enforceable rights that ensure accountability and lawful governance:

Right to Call Special Meetings

Corporations Code §7510(e) grants members holding at least 5% of the voting power the authority to demand a special meeting of the membership. The board is legally obligated to respond and convene such a meeting.

Right to Notice and Participation

Corporations Code §7511(c) requires proper notice of meetings, ensuring members have the opportunity to participate in decisions affecting governance and leadership.

​Right to Inspect Records

Corporations Code §§8333–8336 provide members with the right to inspect board minutes, financial records, and other documents reasonably related to their interests as members. This ensures transparency and accountability.

Right to Remove Directors

Corporations Code §7222 allows members to remove directors by majority vote at a duly called meeting, unless the bylaws specify a higher threshold. This parallels shareholder rights in corporate governance.

Right to Enforce Fiduciary Duties

Corporations Code §§7231, 5231–5233 impose fiduciary duties of care, loyalty, and good faith on directors. Members may petition the court or the Attorney General to remove directors for fraud, abuse of authority, or persistent breach of duty.
